How many shareholders does a Thai limited company need?
Short answer
The Civil and Commercial Code governs private limited companies and the current promoter/shareholder minimum has been reduced from the older seven-person requirement. Confirm the number applying on your filing date with the Department of Business Development.
Because this figure has changed by amendment, guidance published years ago is frequently wrong. We verify the requirement against the DBD's current filing rules for every incorporation rather than relying on a remembered number.
Shareholder nationality is a separate question from shareholder count, and it is nationality — not count — that triggers Foreign Business Act analysis.
