In short
Registration with the Department of Business Development covers the company name reservation, memorandum of association, the statutory meeting, and registration of the company itself, together with objectives, directors, shareholders and registered address.
The objectives clause deserves real attention. It sets what the company may lawfully do, is checked by banks and by licensing authorities, and amending it later is a separate filing. Draft it against the actual business plan and against Foreign Business Act classification.
Foreign directors and shareholders add document requirements: identity documents, and for corporate shareholders, constitutional documents authenticated for use in Thailand. Since 22 December 2024 documents from HCCH Apostille contracting states commonly carry an apostille — confirm the accepted form with the receiving office.
